By accessing our website or using our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
NephroAssist provides AI-powered tools and marketing services for nephrology practices, including:
- PatientAssist: AI chatbot for patient engagement
- StaffAssist: Clinical decision support for practice staff
- FaxAssist: Intelligent fax processing
3. Account Registration
To access certain features, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Violate any applicable laws or regulations, including HIPAA
- Infringe on the rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services
- Use our services to send spam or unsolicited communications
- Reverse engineer or decompile our software
- Resell or redistribute our services without authorization
5. Healthcare Compliance
Our services are designed for healthcare practices and may involve protected health information (PHI). You acknowledge that:
- You are responsible for ensuring your use of our services complies with HIPAA and other applicable healthcare regulations
- We will enter into a Business Associate Agreement (BAA) with covered entities as required
- Our AI tools are designed to assist healthcare professionals, not replace clinical judgment
- You remain responsible for the accuracy of information provided to patients

6. Intellectual Property
All content, features, and functionality of our services—including text, graphics, logos, software, and documentation—are owned by NephroAssist or our licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Your Content
You retain ownership of content you upload to our services (practice information, documents, etc.). By uploading content, you grant us a license to use, store, and process that content solely to provide our services to you.
You represent that you have the right to upload any content you provide and that it does not violate any third-party rights.
8. Payment Terms
For paid services:
- Fees are as specified in your service agreement or on our pricing page
- Payment is due according to the billing cycle specified
- Prices may change with notice; changes apply to subsequent billing periods
- You are responsible for all applicable taxes
- Refunds are provided according to our refund policy
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may:
- Perform maintenance that temporarily affects availability
- Modify or discontinue features with reasonable notice
- Suspend access for violations of these Terms
10. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that our services will be error-free, secure, or uninterrupted.
11. Limitation of Liability
To the maximum extent permitted by law, NephroAssist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless NephroAssist and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
13. Termination
Either party may terminate the service agreement according to its terms. We may also suspend or terminate your access immediately for:
- Violation of these Terms
- Non-payment of fees
- Conduct that may harm us or other users
Upon termination, your right to use our services ceases. We will provide data export options as specified in your service agreement.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Fulton County, Georgia.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of our services after changes constitutes acceptance of the updated Terms.
